Victoria Oil & Gas PLC07 December 2006 Victoria Oil & Gas Plc 7 December 2006 Additional Listing and Directors' Share interests Victoria Oil & Gas Plc ("Victoria" or "the Company") the AIM-quoted oil and gascompany focused in the Former Soviet Union today announces that on 7 December,2006 it allotted conditional on admission a further 73,736 Ordinary Shares of0.5 pence each in the Company. These shares were allotted to employees and Directors in lieu of cash salary ata weighted average month-end market price of 142 pence for the six month periodended 31 July 2006. These shares rank pari passu in all respects with the existing issued OrdinaryShares in the Company. Application has been made to the London Stock Exchangefor these shares to be quoted on AIM and it is expected that dealings willcommence on 13 December 2006. The total issued share capital of Victoriafollowing this allotment will be 115,651,160 shares. In addition, the Company was notified by Grant Manheim on 5 December, 2006 thathe had been issued with 386,250 Ordinary Shares in the Company by the trustee ofthe Company's employee share ownership plan trust set up in respect of the 5%discretionary bonus scheme. These shares were sold at an average of 74 pence toprovide funding for personal pension arrangements and to meet the tax due on theaward of the shares.
