Vodafone Group Plc ("Vodafone") announces today that it has purchased the following number of its ordinary shares of 20
Ā US cents each from Morgan Stanley & Co. International Plc. Such purchase was effected pursuant to instructions issued by Vodafone on 15 May 2024, as announced on 15 May 2024 (the "Programme"):

Vodafone intends to hold the purchased shares in treasury. Following the purchase of these shares, Vodafone holds 1,585,912,856 of its ordinary shares in treasury and has 26,621,750,821 ordinary shares in issue (excluding treasury shares).

As part of the Programme, Morgan Stanley & Co. International Plc. purchases Vodafone (213800TB53ELEUKM7Q61) ordinary shares and sells such shares to Vodafone. In connection with the above purchases, on 16 July 2024 Morgan Stanley & Co. International Plc. (as riskless principal) elected to purchase 21,363,588 Vodafone ordinary shares to sell to Vodafone.
