Issue of Warrants and Options
Β
Vipera, the specialist provider of mobile financial services today announces that the Company has issued to a consultant to the company warrants to purchase a total of 1,200,000 New Ordinary Shares. These warrants are exercisable at 24p per Ordinary share. The exercise thereof is subject to certain performance conditions precedent and, if not exercised, these warrants expire on or before 30 November 2016.

Separately, the Company has issued options to purchase a total of 2,100,000 New Ordinary Shares. These options are exercisable at a price of 24p per Ordinary Share, and are exercisable in 3 tranches as to 1/3rd from 29 April 2012, 1/3rd from 31 December 2013 and 1/3rd from 31 December 2014, in each case up and until 29 April 2016 subject to normal conditions as to the option holder being an eligible employee. Included within these issues of options, the Company has granted to John Defterios, Chairman, and Martin Perrin, a director, 600,000 options each.

As a result of this issue of options

Β·; John Defterios is interested in 117,647 Ordinary Shares, 579,172 warrants and 600,000 options, representing respectively 0.09%, 0.45% and 0.46% of the current issued share capital.

Β·; Martin Perrin is interested in 339,395 Ordinary Shares, 108,824 warrants and 600,000 options, representing respectively 0.26%, 0.08% and 0.46% of the current issued share capital.

The figure of 130,003,631Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.

Following the above there are 6,644,219 warrants and 5,820,000 options in the Company in issue and which are potentially dilutive, representing 5.11% and 4.48% of the current issued share capital respectively.
