Issue of Director Options

The Company issued and allotted yesterday 58,824 new Ordinary Shares of 1p each ("New Ordinary Shares") as a result of the exercise of warrants. The New Ordinary Shares rank pari passu with the existing ordinary shares and application has been made for 58,824 new ordinary shares to be admitted to AIM with trading expected to commence on 24 January 2011.

In addition, the Company has issued options to purchase a total of 3,720,000 New Ordinary Shares. This is an implementation of the intention stated at the time of re-admission in July 2010 to introduce a Share Option Plan, following Completion, for the benefit of employees of the Enlarged Group. Included within this issue of options, the Company has granted to Roger Mitchell, a director, in recognition of his recent contribution to the business, 900,000 options.

All of these options are exercisable at a price of 8.5p per Ordinary Share, the price at which shares were placed in November 2010 and are exercisable in 3 tranches as to 1/3rd from 31 December 2011, 1/3rd from 31 December 2012 and 1/3rd from 31 December 2013, in each case up and until 31 December 2015 subject to normal conditions as to the option holder being an eligible employee.

The Group has continued to expand and more employees are expected to join the Group. Nevertheless, it is still expected that all such options will not exceed 10 per cent. of the Enlarged Share Capital.

As a result of this issue of options Roger Mitchell is interested in 5,797,337 Ordinary Shares, 1,121,959 warrants and 900,000 options, representing respectively 4.47%, 0.86% and 0.69% of the current issued share capital.

Following the issue of the New Ordinary Shares the total number of ordinary shares in issue will be 129,785,984.

The above figure of 129,785,984 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
