Total Voting Rights

In accordance with the FSA's Disclosure and Transparency Rule 5.6.1, Vedanta Resources plc ('Vedanta') today notifies the market of the following:

As at 30 May 2013, Vedanta's issued share capital included 297,585,010 ordinary shares of US 10 cents each, of which 266,473,199 carry voting rights in relation to all circumstances at general meetings of Vedanta. Vedanta currently holds 22,502,483 ordinary shares in treasury. As at 30 May 2013, a further 1,704,333 shares, which had previously been purchased under Vedanta's Buyback Programme, were held by an independent company, Gorey Investments Limited (Gorey) and this company will not vote on these shares. These shares purchased by Gorey will be treated in the consolidated accounts of Vedanta as treasury shares.

The remaining 6,904,995 ordinary shares of US 10 Cents each were issued on the conversion of certain convertible bonds issued by one of Vedanta's subsidiaries. These 6,904,995 ordinary shares are held through a global depositary receipt and, as a result, carry no voting rights.

During the month, 2,000 ordinary shares of US 10 cents each were issued after LTIP grants of options were exercised by employees.

The above figure of 266,473,199 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, Vedanta under the FSA's Disclosure and Transparency Rules.
