ON 15 MARCH 2017 , PURSUANT TO A FINANCING ARRANGEMENT WITH J.P. MORGAN, LONDON ('J.P. MORGAN'), VOLCAN INVESTMENTS LIMITED ('VOLCAN') GRANTED SECURITY OVER 58,500,000 ORDINARY SHARES IN THE CAPITAL OF THE COMPANY (REPRESENTING 21.65 PER CENT OF THE ORDINARY SHARES IN THE CAPITAL OF THE COMPANY, EXCLUDING SHARES HELD IN TREASURY (INCLUDING THOSE SHARES HELD BY GOREY INVESTMENTS LIMITED) AND SHARES HELD THROUGH A GLOBAL DEPOSITARY RECEIPT (WHICH, AS A RESULT, CARRY NO VOTING RIGHTS)) ('THE SHARES') IN FAVOUR OF J.P. MORGAN.

VOLCAN HAS ALSO GRANTED SECURITY OVER VEDANTA RESOURCES PLC CORPORATE BONDS WITH AN AGGREGATE NOMINAL VALUE OF USD122.96 MILLION AS FURTHER DETAILED BELOW.

THE ARRANGEMENT PERMITS VOLCAN TO CONTINUE TO PROVIDE INSTRUCTIONS IN RELATION TO THE VOTING RIGHTS ATTACHING TO THE SHARES, SUBJECT TO CUSTOMARY EXCEPTIONS.
