THE ARRANGEMENT INVOLVES THE TRANSFER OF THE SHARES OUT OF BANK OF AMERICA AS CUSTODIAN FOR VOLCAN INVESTMENTS LIMITED FOR SECURITY PROVIDED BY VOLCAN.
