Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons- Award of Options
On 12 May 2016, the below mentioned person discharging managerial responsibility (PDMR) of Vedanta Resources plc have been granted the following conditional options over ordinary shares of US$10 cents each under the Vedanta Performance Share Plan ("PSP"). The exercise price of each option is US$ 10 cents.

The vesting of the Vedanta PSP awards are subject to performance conditions over a three year performance period. Accordingly, the awards will vest on the third anniversary of the date of grant, subject to meeting the performance conditions.
The awards were approved by the Company's Remuneration Committee on 10th May 2016 effective from 12th May 2016 and, accordingly, the Company was notified of the grants of awards on 12th May 2016. This transaction took place in London. This notification is made pursuant to Disclosure Rule 3.1.4.
