Performance Share Plan ("PSP")

On 7 December 2011, the undermentioned executive directors and other persons discharging managerial responsibilities (PDMRs) were granted performance share awards of ordinary shares of 25p under the Victoria PLC Performance Share Plan (PSP).

These awards are exercisable between 2014 and 2021 dependent upon the satisfaction of performance targets based on EPS growth under the terms of the PSP. The number of performance share awards was determined using a share price of 291.00p per share.
