Notice of 2020 Annual General Meeting ("AGM")
US Solar Fund plc (LON: USF (USD)/USFP (GBP)) is pleased to announce that the Notice of its 2020 AGM is now available to view on the Company's website at https://www.ussolarfund.co.uk/investor-centre/key-documents-and-disclosure.
The AGM will be held at 11.00 a.m. on Tuesday, 23 June 2020 at the offices of Herbert Smith Freehills LLP, Exchange House, Primrose Street, London, EC2A 2EG.
The formal Notice of AGM will be posted to those shareholders who have elected postal correspondence and in accordance with Listing Rule 9.6.1 copies of the documents have been submitted to the UK Listing Authority and will shortly be available for inspection from the National Storage Mechanism at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
AGM Format
The Company is required by law to hold an AGM within six months of its financial year end. In accordance with the measures issued by Her Majesty's Government restricting social gatherings because of COVID-19, the Board has decided to put in place contingency arrangements to conduct only the statutory, formal business (consisting of voting on the resolutions proposed in the Notice of AGM) at the AGM. Given restrictions, shareholders will not be allowed to attend in person.
The Board recognises that, while this approach is unusual in a historic context, it is in line with that taken by other listed companies at the current time, and considers that this format is in the best interests the Company, as well as its individual shareholders. The Board and the Investment Manager continue to welcome questions and engagement from shareholders via its regular contact channels. A presentation will be uploaded to the Company's website following the AGM.
Should circumstances change or if social distancing measures are further relaxed before the AGM, the Company will notify shareholders of any changes to the proposed format for the AGM as soon as possible via RNS and its website (http://www.ussolarfund.co.uk).
