Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them in accordance with the Market Abuse Regulations.
On 31 March 2017 the following ordinary shares of 20 pence in Urban&Civic plc were delivered to the following persons discharging managerial responsibilities ("PDMRs") in order to satisfy the 2014 deferred annual bonus:

50% of the net annual bonus payable in December 2014 was deferred for a vesting period of two years (which ended on the second anniversary of the fourth dealing day after the announcement of results in December 2014) and has been held since 6 March 2015 on behalf of the PDMRs by the trustees of the Company's employee benefit trust ("EBT"), subject to continued employment. The awards will be settled by a transfer of shares from the EBT to the PDMRs above.
Further details of these deferred bonuses will be included in the next Directors' Remuneration Report.
