Board Changes
Urban&Civic announces that Jon Di-Stefano will cease his role as Chair and member of the Audit Committee with immediate effect. He will remain a Non-Executive Director of the Company.
The change follows the acquisition of Telford Homes (of which Jon is Chief Executive) by Trammell Crow Company, a wholly owned subsidiary of CBRE Group Inc. ("CBRE"). CBRE is also parent to CBRE Limited that acts as the Company's valuers. The Board is satisfied that Jon's role as Chief Executive of Telford Homes does not conflict with CBRE's role as the Company's valuers. Notwithstanding, to avoid the possibility for any potential or actual conflict of interest in the future in matters relating to the valuation of the Company's assets, Jon has stepped aside from all Audit Committee responsibilities.
Ian Barlow will resume the role of Chair of the Audit Committee, in addition to his position of Senior Independent Director.
