Additional Listing
TUI AG (the "Company") announces that applications have been made to the UK Listing Authority for the admission to the premium listing segment of the Official List of the UK Listing Authority of 21,526,865 ordinary shares of no par value in the share capital of the Company (the "New Shares") and to the London Stock Exchange plc (the "London Stock Exchange") for the admission of such New Shares to trading on the main market for listed securities of the London Stock Exchange.
The applications have been made pursuant to the exercise of conversion rights by bondholders in respect of the TUI Travel Limited ("TUI Travel") £400,000,000 4.9 per cent. Convertible Bonds due 2017. In accordance with the mandatory transfer provisions of the articles of association of TUI Travel, the TUI Travel shares issued following the conversion of such bonds are subject to a mandatory transfer to the Company (or its nominees) in exchange for entitlements to new ordinary shares in the Company. The New Shares will be issued credited as fully paid and will, upon issue, rank pari passu in all respects with all other existing issued ordinary shares in the Company, including in respect of the right to receive all dividends, distributions and other entitlements made or paid or declared thereon.
The ISIN of the New Shares to be admitted to trading will be DE000TUAG000. Admission is expected to occur on 5 March 2015.
The New Shares have already been admitted to trading on the regulated market of the Frankfurt Stock Exchange with simultaneous admission to the sub-segment of the regulated market with additional post-admission obligations (Prime Standard) of the Frankfurt Stock Exchange and to the regulated markets of the stock exchanges in Stuttgart, Hamburg, Berlin, Düsseldorf, Hanover and Munich.
