Forthcoming Board Changes

The Board of TR Property Investment Trust plc is pleased to announce the appointment of two new Directors.

Graham Kitchen will join the Board as an independent Non-Executive Director with effect from 1 May 2026. Mr Kitchen is Non-Executive Chairman of AVI Global Trust plc and a Non-Executive Director of The Mercantile Investment Trust plc, where he is Senior Independent Director. He is also a Non-Executive Director of Places for People, a provider of affordable housing. Mr Kitchen was previously a Non-Executive Director of Invesco Global Equity Income Trust plc. He was formerly Global Head of Equities at Janus Henderson Investors.

Mr Kitchen currently does not own any ordinary shares in the Company.

Hannah Philp will join the Board as an independent Non-Executive Director with effect from 1 October 2026. Ms Philp is a non-Executive Director of The Bankers Investment Trust plc and a non-Executive Director of JPMorgan UK Small Cap Growth and Income Trust plc. She is also an Executive Director of ARC Club Limited, a property-adjacent operating business. Ms Philp was previously Director of Marketing at Witan Investment Trust plc.

Ms Philp currently does not own any ordinary shares in the Company. In accordance with Listing Rule 6.4.8, the Company discloses that Ms Philp was a director of ARC Club Homerton Ltd and ARC Club Camberwell Ltd, both of which were subsidiaries of ARC Club Limited and which were dissolved in 2025. 

No further information is required to be disclosed under Listing Rule 6.4.8 in respect of these appointments.

The Board also announces that Andrew Vaughan has decided not to seek re-election at the forthcoming AGM and therefore will step down from the Board at the conclusion of the Company's AGM to be held on 23 July 2026. The Board wishes to record its thanks to Mr Vaughan for his considerable contribution during his time on the Board, as a result of his valuable pan-European property expertise.
