In relation to the introduction of a new holding company announced on 8 October 2008 and as approved by shareholders on 18 October 2008, Tarsus has now, for technical reasons, issued one new ordinary share of 5p to New Tarsus. Following the Scheme of Arrangement becoming effective New Tarsus is expected to become Tarsus' new holding company. Subject to the Scheme being approved by the Court, the Scheme is expected to become effective on 26 November 2008 at which point Scheme Shareholders will receive their entitlement to New Tarsus Shares.
Defined terms in this announcement have the same meaning as set out in the Company's circular dated 8 October 2008.
