Recommended Offer by Travis Perkins plc for The BSS Group plc

Offer Update

Travis Perkins and BSS note today's announcement by the Office of Fair Trading ("OFT") not to refer the proposed acquisition of BSS by Travis Perkins to the Competition Commission provided that satisfactory undertakings are given by Travis Perkins, comprising the disposal of branches in 20 local areas from the combined plumbing and heating network of over 600 branches.

Travis Perkins believes that these branches will be of interest to a number of eligible buyers and that their sale will not materially impact the strategic and financial attractiveness of the overall transaction.

Subject to final clearance of the transaction by the OFT, Travis Perkins and BSS will announce revised dates for the Court hearings (to sanction the scheme of arrangement and confirm the associated capital reduction) in due course. Travis Perkins and BSS currently expect to be able to complete the acquisition by the end of December.
