PDMR and Major Shareholdings
TMT Investments Plc (AIM: TMT.L), the venture capital company investing in high-growth technology companies, announces that it was notified on 1 April 2021, that, on 1 April 2021, Artemii Iniutin, TMT's Head of Investments, agreed to acquire 863,647 ordinary shares of no par value each in the Company ("Ordinary Shares") at a price of US$7.20 per Ordinary Share in the following transactions (the "Share Acquisitions"):
- 620,404 Ordinary Shares from Ramify Consulting Corp., a company wholly owned by German Kaplun, TMT's Head of Strategy ("TMT Parties Transaction"); and
- 243,243 Ordinary Shares from an unrelated party.
The Ordinary Shares acquired pursuant to the Share Acquisitions are to be acquired directly by Merit Systems Inc., a company wholly owned by Mr. Iniutin. The settlement of the Share Acquisitions is expected to take place within a month. Following the settlement of the Share Acquisitions, Mr. Iniutin will be interested in, in aggregate, 2,971,693 Ordinary Shares, representing approximately 10.18% of the Company's issued ordinary share capital.
Following the settlement of the TMT Parties Transaction, German Kaplun, TMT's Head of Head of Strategy, will be interested in, in aggregate, 7,262,260 Ordinary Shares, representing approximately 24.88% of the Company's issued ordinary share capital.
Upon settlement of the Share Acquisitions, TMT shareholdings of the members of the concert party, as defined in the City Code on Takeovers and Mergers (the "Code"), which currently exists in the Company, will change as follows (based on the latest information available to the Company and assuming no other changes in the shareholdings of the members of the concert party before the settlement):
