No consideration is payable on the grant of the Awards, but prior to theissue or transfer of any shares that vest, a payment of par value per share isrequired; 3. A further 2,338,729 Awards were granted to senior employees of theCompany on 30 April 2008 4. The Company has 211,971,299 Ordinary Shares of 2p each in issue; 5. There are no shares held in treasury so the total voting rights in theCompany is therefore 211,971,299 6. The Company now has a total of 10,842,784 Awards outstanding, under theTerrace Hill Group plc Performance Share Plan, representing 5.1% of the issuedOrdinary Share Capital; and 7.
