Notification and public disclosure by directors/persons discharging managerial responsibilities and persons closely associated with them
Telecom Plus PLC received notification on 21 July 2025 that as part of its Deferred Shares Bonus Plan ("the DBP Scheme"), Stuart Burnett, Chief Executive, and Nick Schoenfeld, Chief Financial Officer, exercised options to acquire 17,930 and 12,028 ordinary shares of £0.05 in the Company respectively. These options were originally granted on 22 July 2021 and 26 July 2022. Following the exercise of the options, Stuart Burnett sold 8,642 and Nick Schoenfeld sold 5,798 of the ordinary shares acquired through the exercise of the options to pay the associated income tax liabilities and exercise costs. The remaining ordinary shares of 9,288 for Stuart Burnett and 6,230 for Nick Schoenfeld, were retained by them.
The attached notification, made in accordance with Article 19 of the EU Market Abuse Regulation 596/2014 (as incorporated into UK domestic law by the European Union (Withdrawal) Act 2018), gives further detail of the number of options exercised and ordinary shares sold by Stuart Burnett and Nick Schoenfeld under the DBP Scheme.
