Telecom Plus PLC (the "Company")
Notification and public disclosure by directors/persons discharging managerial responsibilities and persons closely associated with them
Telecom Plus PLC announces that Andrew Lindsay, Chief Executive Officer, and Nick Schoenfeld, Chief Financial Officer, have today each acquired 30,000 B1 ordinary shares ("B1 Shares") in the capital of Utility Warehouse Limited, a subsidiary of the Company, at a price of £0.02 per B1 Share. These B1 Shares were issued to Mr Lindsay and Mr Schoenfeld pursuant to the group's LTIP 2016, the new long term incentive plan adopted by the group following approval by shareholders at the Company's Annual General Meeting on 22 July 2016.
Mr Lindsay has today waived his rights to options he previously held over 300,000 ordinary shares at an exercise price of 1337p per share, vesting in three tranches between 1 July 2017 and 1 July 2021. Mr Schoenfeld has today waived his rights to options he previously held over 300,000 ordinary shares at an exercise price of 985p per share, vesting in five tranches between 13 July 2018 and 13 July 2022.
The notification below, made in accordance with the requirements of the EU Market Abuse Regulation, provides further details.
In addition to their holding of B1 Shares, Mr Lindsay and Mr Schoenfeld currently hold interests in 382,674 and 6,250 ordinary shares of the Company respectively, and each have a total of 1,701 ordinary shares under option pursuant to the Company's Save As You Earn Share Option Plan.
