Total Voting Rights

In conformity with Disclosure Guidance and Transparency Rule 5.6.1, the Company notifies the market of the following:

During the month of August 2017, 219,500 Restricted Stock Units vested and separately no options over Telit ordinary shares of 1p each ("Ordinary Shares") were exercised.

On 1 August 2017, the Company issued 400,000 Ordinary Shares via its existing blocklisting for its various existing share option plans, for the purpose of future share option plan allotments.

On 26 May 2017 the Company previously announced an issue of 500,000 Ordinary Shares for the same purpose. These were incorrectly classified as treasury shares rather than issued share capital. This announcement amends that error which was also made in the subsequent total voting rights announcements.

Accordingly, the issued share capital of Telit, as at 31 August 2017, comprises 130,691,291 ordinary shares of 1p each in the Company ("Ordinary Shares"), each with voting rights. There are no shares held in treasury.

The above figure of 130,691,291 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
