EGM Results
Terra Capital plc (AIM:TCA) announces that at the Extraordinary General Meeting ("EGM") held on 27th February at 1.00pm, the following resolution was duly passed, with 56% of the shares in issue being voted in favour of the resolution and none against:
ORDINARY RESOLUTION
Resolution 1
THAT the Company be authorised to make market purchases of Ordinary Shares,provided that:
(i) the maximum number of Ordinary Shares authorised to be purchased is
6,829,924 of the Ordinary Shares in issue at the time of the passing of the
resolution;
(ii) the maximum price and the minimum price which may be paid for any ordinary
share is US$0.98; and
(iii) the authority shall expire on the conclusion of the next annual general meeting or
18 months after the passing of the resolution.
Following the passing of this resolution, the Tender Offer, as set out in the circular dated 3 February 2017, will proceed in accordance with the terms as set out in the circular.
