Notification of transaction by Persons Discharging Managerial Responsibilities
Tate & Lyle PLC (the ‘Company’) announces that it was informed on 25 May 2018 that transactions occurred by Persons Discharging Managerial Responsibilities (“PDMR”) in respect of their interests in ordinary shares of 25 pence each in the capital of the Company (‘Shares’) under the Tate & Lyle Group Bonus Plan (‘GBP’).
Following the withholding of Shares to satisfy certain tax obligations arising on the release of Shares, the PDMR’s interests in Shares changed as detailed in the table below:

For tax purposes, the market value of the Shares, being the average of the two close prices on the date of the transaction, was 670.80 pence per Share on 25 May 2018.
No consideration was paid for the acquisition of these Shares. These awards were made under the GBP in 2016 and were subject to the satisfaction of employment conditions. Details of the operation of the GBP are contained within the Annual Report 2016.
The notifications below, which have been made in accordance with the requirements of the EU Market Abuse Regulation, provide further detail.
