Notification of transactions by Persons Discharging Managerial Responsibilities
Tate & Lyle PLC (the ‘Company’) announces that it was informed yesterday that transactions occurred by Persons Discharging Managerial Responsibilities (‘PDMR’) in respect of their interests in ordinary shares of 25 pence each in the capital of the Company (‘Shares’) under the 2016 Conditional Share Award programme (‘CSA’).
No consideration was paid for the acquisition of these Shares. Awards made under the CSA were subject to certain Company-based financial performance criteria satisfied over a performance period which ran from 1 April 2016 to 31 March 2017. The Awards were further subject to a 12-month deferral period and continued employment to 31 March 2018.
Following the withholding of Shares to satisfy certain tax obligations arising on the exercise of nil-cost options or the release of Shares, the PDMR’s interests in Shares changed as detailed in the table below:

For tax purposes, the market value of the Shares, being the average of the two close prices on the date of the transaction, was 542.4 pence per Share on 4 April 2018 and 537.6 pence per Share on 3 April 2018.
