Dawson International PLC02 May 2006 2 May 2006 Dawson International plc Undertakings in connection with its AGM resolutions Dawson International plc ("Dawson" or the "Company") announces that, at therequest of its shareholder Third Advance Value Realisation Company Limited ("TAVR"), the Company has agreed to give an undertaking in relation toresolutions 10 and 12(a)(iii) (the "Resolutions") as set out in the notice ofAnnual General Meeting to be held on 3 May 2006 ("AGM"). In respect of resolution 10, which gives the Directors general authority toallot shares, the Company has undertaken only to exercise the rights which willbe granted to the Company during a period of fifteen months commencing from thedate of this resolution or to the conclusion of the next Annual General Meetingof the Company, whichever is the earlier. This compares with a period of fiveyears proposed in the resolution; and In respect of resolution 12(a)(iii), which gives the Directors the authority todisapply pre-emption rights to existing shareholders when issuing a limitedlumber of shares for cash, the Company has undertaken to exercise this right upto a nominal aggregate nominal amount of £112,579 - being 5 per cent of theissued ordinary share capital of the Company as at 10 March 2006. This compareswith a proposed amount of £562,896 - being 25 per cent of the issued ordinaryshare capital of the Company as at 10 March 2006.
