 Court confirmation of capital reduction

 TalkTalk Telecom Group PLC ("TalkTalk") is pleased to announce that the High Court of Justice in England and Wales has today made an order confirming the reduction of part of TalkTalk's share premium account by £400 million.

 The TalkTalk Capital Reduction will become effective upon the registration of the TalkTalk Court Order by the Registrar of Companies which is expected to take place later today.

 Capitalised terms used in this announcement have the meanings given to them in the scheme document of The Carphone Warehouse Group plc dated 29 January 2010.
