Exercise of Options and Director Dealing, and Total Voting Rights
Symphony Environmental Technologies Plc ("Symphony" or the "Company") announces that further to the announcement on 19 April 2017 that Michael Stephen, Commercial Director and Deputy Chairman of the Company, had exercised share options to purchase 1,200,000 new ordinary shares of 1p each in the Company ("Ordinary Shares") ("Option Shares"), allotment of the Option Shares has taken place today.
To fund the purchase of the Option Shares and potential tax liability that may arise, Mr Stephen and persons connected to him, have today sold 782,990 Ordinary Shares at a price of 16.0 pence per Ordinary Share. Following the disposal, Mr Stephen and persons connected to him remain interested in 1,351,008 Ordinary Shares representing approximately 0.9% of the issued share capital of the Company.
In addition to the above, the Company has today allotted 75,000 Ordinary Shares ("EMI Shares"), pursuant to an exercise of share options granted under the Company's staff EMI scheme by a former employee of the Company.
Application has been made for both the Option Shares and EMI Shares (which will rank pari passu with the Company's existing Ordinary Shares in issue) to be admitted to trading on AIM on 9 May 2017 ("Admission").
Following Admission, the enlarged issued share capital of the Company will be 151,514,377 Ordinary Shares. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
Following the exercise of the Option Shares and EMI Shares and sale of shares, the Board now have an increased aggregate holding of 37,765,817 Ordinary Shares, representing 24.9 per cent. of total issued share capital.
