SWP Group plc (the "Company")
Grant of Share Options
The Board of SWP Group plc announces that following approval by the Company's Remuneration Committee on 26th July 2012, the Board has granted each of its Executive Directors (the "Executive Directors") options ("Options") under the SWP 2010 Unapproved Share Option Plan (the "Unapproved Plan") in total over 6,500,000 ordinary shares of 0.5 pence each in the share capital of the Company ("Ordinary Shares") for nil consideration.
The options granted to the Executive Directors under the Unapproved Plan have an exercise price of 5.0 pence per share. The number of ordinary shares subject to the options granted, together with the beneficial interests of the Executive Directors currently held in the issued share capital of the Company, is as follows:

These options enable the Executive Directors to benefit only from the future growth in the value of the Ordinary Shares above 5.0 pence. The Executive Directors may not normally realise any such benefit for three years and the Options expire ten years after being granted.
