Sunplus Shareholders' Meeting Approved the Distribution of 2007 ProfitsNT$2.5 Cash Dividend and 5% Stock Dividend

Hsinchu Science Park, Taiwan, R.O.C. June 13th, 2008 - Sunplus Technology Co., Ltd. (SUNPLUS or the "Company") (TAIEX: 2401, LSE: SUPD), today held the annual shareholders' meeting, at which the shareholders approve the distribution of NT$2.5 cash dividend per common share and 5% stock dividend. According to this resolution, GDR holders will get NT$5 cash dividend per GDR share for each GDR share representing 2 common Sunplus shares, and 5% stock dividend. The major resolutions at this shareholders' meeting are as follows:
Shareholders accepted the financial results for 2007. Net sales for 2007 were NT$9,214million, and net income after tax for 2007 were NT$2,026million, with an earning per share NT$3.53.
Shareholders approved the distribution of 2007 profits. The Company will distribute NT$2.5 cash dividend per common share from profits and 5% stock dividend as 30 shares per 1,000 shares from profits plus 20 shares per 1,000 shares from capital surplus, and issue 13,500,000 shares as employees stock bonus plus employees cash bonus NT$15 million.
Shareholders approved the capitalization of dividends, bonus to employees from 2007 profits, and capital surplus. The total amount of paid-in capital shall be increased NT$ 412,728,770 which the issuance of new shares are 41,272,877 common shares at par value of NT$10.
Shareholders approved the amendment of the "Articles of Incorporation".
Shareholders approved to release Sunplus' directors from Restrictions of Competitive Activities
Shareholders approved the amendment of the "Rules for Election of Directors and Supervisors".
Shareholders approved the amendment of the "Rules for Sunplus Shareholder' Meeting Procedure".
