Sistema announces decisions of the Board of Directors

Moscow, 03 April 2018 - Sistema PJSFC ("Sistema" or "the Corporation") (LSE: SSA, MOEX: AFKS), a publicly traded diversified Russian holding company, announces that its Board of Directors at a meeting held on 31 March 2018 confirmed the new composition of the Management Board of Sistema, and considered a number of other issues pertaining to the activities of the Corporation.

The Management Board of Sistema comprises:

Andrey Dubovskov - Chief Executive Officer (President), Chairman of the Management Board

Igor Aleshin - Vice-President, Chief of Security Department

Alexey Guryev - Vice-President, Chief of Human Resources Department

Artem Zassoursky - Vice-President, Chief of Strategy Department

Alexey Katkov - Managing Partner

Oleg Mubarakshin -- Managing Partner

Vsevolod Rozanov - Managing Partner

Artem Sirazutdinov - Managing Partner

Vladimir Travkov - Vice-President, Chief of Financial and Investment Department (CFO)

Ali Uzdenov - Managing Partner

Sergey Shishkin - Chief of Corporate Governance and Legal Department (CLO)

The Board of Directors of the Corporation confirmed Sergey Boev and Felix Evtushenkov as Deputy Chairmen of the Board of Directors of Sistema. Felix Evtushenkov will also serve as Chairman of the Ethics and Control Committee of the Board of Directors of Sistema.

The Board of Directors of Sistema also decided to hold the annual general meeting of shareholders (AGM) of Sistema on 30 June 2018. The record date for eligibility to participate in the meeting is 5 June 2018. Information on the agenda ite4ms for the AGM will be published in due course in compliance with the Charter of Sistema.

New members of the Management Board of Sistema:

Igor Aleshin

Igor Aleshin graduated from the Omsk Higher Police School of the Ministry of Internal Affairs of the USSR with a degree in law in 1987. Since 2014 he has held the position of senior vice-president and head of the security service at PJSC MTS Bank.

Before joining MTS Bank he held various positions in Sistema Group, including Head of Security at OJSC MTS and CJSC Medsi Group of Companies.

In 2011-2012 he held the position of Deputy Minister of Internal Affairs of the Russian Federation, in 2008-2011 he was Minister of Internal Affairs for the Republic of Bashkortostan, and in 2006-2008 Minister of Internal Affairs for the Republic of Karelia.

From 1989 to 2006 he held various posts at the Department of Interior Affairs of Omsk Oblast: in the criminal investigation department and units for combatting economic crime, as head of the department for combatting economic crime, and subsequently as first deputy head and head of the criminal police of the Department of Interior Affairs of Omsk Oblast.

He holds state awards: Medal for Services to the Fatherland (second class) and the Medal for Excellence in Maintaining Civic Order.

Alexey Katkov

Alexey Katkov graduated from the Academy of Economy under the Government of the Russian Federation with a degree in management. Since 2015 he has been CEO and President of Sistema Venture Capital.

In 2015 Alexey Katkov was first vice-president and COO of JSC SMM (then part of Sistema Group). From 2000 to 2015 he worked at LLC Mail.ru, where he served as vice-president, commercial director and director for international and regional development.

Vladimir Travkov

Vladimir Travkov graduated from Lomonosov Moscow State University with a degree in economics and management. Since 2003 he has held management positions in MTS Group, including as director of the Functional Control Department since 2016. His responsibilities included oversight of the investment process and the activities of various departments of the company, financial planning, budgeting and control of operational costs. Previously he headed up the Departments of Planning, Management Accounting and Analysis and other departments. He is a member of the Audit Committee reporting to the Board of Directors of MTS Bank, and a member of the boards of directors of PJSC MGTS, CJSC MTS Armenia and JSC Nvision Group.
