Havoc Warrants and Issue of Equity

Sirius Petroleum (AIM:SRSP) the investing company focused on oil and gas exploration and development opportunities, announces that pursuant to the Technical Services Agreement announced on 22 June 2015 and following shareholder approval at the AGM to renew the Company's authorities to issue shares, Sirius has now issued warrants over 100,000,000 new ordinary shares at a strike price of 2 (two) pence per share ("Warrants") to Havoc Partners. The Warrants will be exercisable from the date of grant, being the 11 August 2015, until the third anniversary of the date of grant, being the 10 August 2018.

The Company also announces, pursuant to the announcement dated 22 June 2015 and following approval by shareholders in respect of an appropriate authority to issue new ordinary shares at the AGM dated 5 August 2015, that it has allotted and issued the remaining 60 million new ordinary shares due to Greenlands Estate Holding Limited ("GEHL") ("GEHL Shares"). These shares are being issued at an effective price of 0.8p pursuant to agreements dating back to 2014 to GEHL, a long-term shareholder and supporter of the Company.

Application has been made for the GEHL Shares to be admitted to trading on AIM, which is expected to occur on, or around, 29 September 2015. The GEHL Shares represent 3.7% of the Company's issued share capital of the Company after taking into account the Funding Shares (as defined in the announcement made by the Company on 22 September 2015) which are expected to be Admitted to trading on AIM.

Following the issue of the GEHL Shares and the Funding Shares, the Company's enlarged issued share capital will comprise 1,673,562,856 Ordinary Shares. Following 29 September 2015, this figure of 1,673,562,856 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
