Directors' shareholding

Notification relates to a transaction notified in accordance with DTR 3.1.2 R.

The Company announces that on 1 February 2010 a total of 821,554 ordinary shares of 1p each in the Company were awarded to the following Directors at a price of nil pence per share subject to the performance conditions set by the remuneration committee.

Awards normally vest three years after grant to the extent that the following applicable performance conditions have been satisfied and provided the participant is still employed in the Company's Group.

Initial awards granted under the Plan will be subject to an adjusted earnings per Share ("EPS") performance condition, measured over a three-year period commencing with the financial year in which the awards are granted. Adjusted EPS will be calculated by adding back amortisation and exceptional costs to profit.

25% of an award will vest if the Company achieves EPS growth of 25% over the performance period, increasing on a straight-line basis so that 100% of an award will vest if growth in EPS over the performance period equals or exceeds 50%.

These director's share interests, and those of their respective connected people, in the Company remain unchanged and have the following interests in the ordinary share capital of the Company:
