SOPHEON PLC (Sopheon or the "Company") Director Shareholding

Sopheon plc announces that a director, Stuart Silcock, purchased 31,284 ordinary 5p shares in the Company on 15 May 2008, at a purchase price of 14.5 pence per ordinary share. This purchase increases Mr. Silcock's beneficial holding from 918,716 Sopheon ordinary shares to 950,000, representing 0.65% of the issued share and voting capital of the Company.

Prior to this transaction, Mr Silcock also held 98,077 shares as a trustee on behalf of other beneficial owners, who are unconnected with the Company. Mr Silcock has now transferred 21,438 of the shares he held as trustee directly to their relevant beneficial owners. This transfer reduces the number of shares Mr. Silcock holds as trustee on behalf of other beneficial owners to 76,639 representing 0.053% of the issued and voting share capital of the Company.
