Circular & General Meeting

The directors of the Company announce that further to the announcement of 7 October 2011 regarding Avisen's proposed acquisition of 1Spatial Holdings Plc (the "Proposed Acquisition"), a circular containing a notice of a General Meeting ("GM"), to be convened for 7 November 2011 at 10.00 a.m. at Brown Rudnick LLP, 8 Clifford Street, London W1S 2LQ, has today been sent to shareholders. The purpose of the GM is to seek shareholder approval to update the relevant Board authorities, to renew the authority to allot shares, to dis-apply pre-emption rights and to enact a proposed sub-division of the Company's Share Capital (together, the "Proposals"). The Proposed Acquisition is conditional on, inter alia, the approval of the Proposals at the GM.
