Directors' Dealings and disclosure of Significant Shareholdings

On 9 August 2010, the Company announced a placing of 421,021,000 new ordinary shares ("Placing") at a price of 0.2p per share and the issue of 62,500,000 new ordinary shares as part consideration for the proposed acquisition of 49 per cent. interest in Oregon Gold Limited. Following approval at a General Meeting and the admission of these new ordinary shares to AIM on 3 September 2010, the Company has been notified of the following director's dealings and significant shareholdings.

Directors' dealings

·; Mr Adam Reynolds, chairman, subscribed for 18,750,000 ordinary shares pursuant to the Placing. This subscription was effected through his shareholding in Wilton International Consulting Limited, which subscribed for 37,500,000 shares, in which he holds 50 per cent. of the issued share capital. Following this subscription, the total shareholding of Adam Reynolds in the Company amounts to 43,000,000 ordinary shares (representing approximately 4.39 per cent. of the issued share capital). 

·; Mr Glyn Hirsch, director, subscribed for 30,000,000 new ordinary shares in the Placing. Following this subscription Glyn Hirsch is interested in 82,500,000 ordinary shares (representing approximately 8.43 per cent. of the issued share capital).

·; Mr Michael Hough, director, subscribed for 30,000,000 new ordinary shares in the Company pursuant to the Placing. Following this subscription, Michael Hough is interested in 82,000,000 new ordinary shares in the Company (representing approximately 8.38 per cent. of the issued share capital). 

·; Mr Paul Foulger, finance director, subscribed for 18,750,000 ordinary shares pursuant to the Placing. This subscription was effected through his shareholding in Wilton International Consulting Limited, which subscribed for 37,500,000 shares, in which he holds 50 per cent. of the issued share capital. Following this subscription, the total shareholding of Paul Foulger in the Company amounts to 43,000,000 ordinary shares (representing approximately 4.39 per cent. of the issued share capital). 

Significant Shareholdings

·; Anton Bilton is interested in 125,000,000 ordinary shares in the Company, representing approximately 12.77 per cent. of the issued share capital.

·; David Newton is interested in 115,000,000 ordinary shares in the Company, representing approximately 11.75 per cent. of the issued share capital.
