Notice of AGM & Payment Division Restructuring
("SJH" the "Group" or the "Company")

AGM
The Annual General Meeting of the Company ("AGM") will be held at 11.00 am on 31 July 2019 at the offices of Allenby Capital Limited, 5 St. Helen's Place, London EC3A 6AB. The notice of the AGM will be posted to shareholders today and a copy will be added to the Company's website, https://sjhplc.com/regulatory-news/aim-26-rule/.
Lord Razzall and Clive Hyman will not be seeking re-election as directors at the AGM and will be standing down from the board at the AGM.
Payment Division Restructuring
Following the acquisition of Another Ops Limited ("Another"), previously announced on 23 May 2019, the Group has undertaken a restructuring of its Payments division. All regulated payment activities will be undertaken through the Group's wholly owned subsidiary, Market Access Limited (previously Another Ops Limited), trading as "Market Access" for business-to-business activities and "another" for business-to-consumer activities. Payment card processing activities will be undertaken through the Group's wholly owned subsidiary, Market Access Ops Limited (previously Market Access Limited). The various operational synergies and opportunities for integration between the acquired and existing businesses are being progressed as swiftly as possible.
Graeme Paton, the Group CEO commented, "The acquisition of Another has already brought significant operational benefits to the Payments Division, and I firmly believe that this will soon be translated into increased revenues and customer acquisitions. We now have an exciting range of products around which we believe we can build a vibrant and successful FinTech business."
