Significant shareholder's conditional agreement
The Board announces that it has received notification from Haddeo Partners LLP (Paul Dupee, Executive Chairman of the Company is Managing Partner of Haddeo Partners LLP) that it has entered into a conditional agreement (the "Agreement") granting an option to sell at a premium to the prevailing share price Haddeo's total shareholding, amounting to 23,492,535 ordinary shares equating to 22.51% of the issued share capital of the Company, to Disruptive Capital Investments II Limited. The agreement is conditional upon, amongst other things,certain regulatory approvals and the approval of the Company.
Disruptive Capital have stated they have no present intention of making an offer for the Company.
In the Board's opinion, there can be no guarantee that the conditions in the Agreement can or will be satisfied, nor that the Company will consent to any sale of shares.
