Statement re Investment in Selected Target Company
Sherborne Investors Management (Guernsey) LLC ("SIMG"), as the investment manager of SIGB, LP, has informed Sherborne Investors (Guernsey) B Limited (the "Company") that as at 2 May 2013 SIGB, LP beneficially owned 47,515,366 ordinary shares in 3i Group plc ("3i"), the Selected Target Company, acquired for a total net cash consideration, including commissions and giving effect to reinvestment of profits from share sales and related derivative transactions, of approximately £127,079,446. Existing cash reserves of the Company have been used to fund capital contributions to SIGB, LP for such acquisitions. SIMG has advised the Company that, pursuant to its existing delegated authority from the general partner of SIGB, LP, it may dispose of all or a part of such shares held in 3i or purchase additional 3i shares at any time.
The Company is a limited partner in SIGB, LP. SIMG, as the regulated investment manager of SIGB, LP, directs the investment affairs of SIGB, LP at its sole discretion.
