The Stanley Gibbons Group plc ("Stanley Gibbons" or the "Company")
Issue of Equity
Under the terms of the acquisition of Stampwants.com, Inc in 2012, deferred consideration of 91,588 new ordinary shares of 1p each in the company ("Ordinary Shares") was due to be issued to the majority shareholder, Mark Rosenberg, eighteen months after the date of closing, subject to there being no deductions required to satisfy any indemnification claims.
No indemnification claims have been made during this period and therefore application has been made for 91,588 Ordinary Shares to be admitted to trading on AIM ("Admission"). These Ordinary Shares will rank pari passu with the existing issued shares of the Company and dealings are expected to commence on Tuesday 21 October 2014.
Following Admission the Company's total issued share capital will comprise 46,689,447 Ordinary Shares.
