A DELAY IN THE IMPLEMENTATION OF A LIABILITY MANAGEMENT EXERCISE RELATING TO

ITS U.S.$825,000,000 6.875 PER CENT. GUARANTEED SUSTAINABILITY-LINKED GREEN NOTES DUE 2028

Private Joint Stock Company "National Power Company "Ukrenergo" (the "Company") announces a delay in the implementation of a liability management exercise relating to its $825 million 6.875% Guaranteed Sustainability-Linked Green Notes due 2028 (the "Notes"). The Company reached agreement on the terms of the liability management exercise with an ad hoc group of holders of the Notes in April 2025, and announced at the time that the transaction was expected to be completed by early July 2025.

The delay is required so that the Company can address certain requirements of the financing necessary for the tender offer leg of the transaction. While the length of the delay is not certain, the Company is committed to implementing the agreement reached with the ad hoc group as soon as practicable and remains in close touch with the ad hoc group and its advisors regarding the delay.
