Director Shareholding, Exercise of Share Options, Issue of Equity and Total Voting Rights
Stadium Group plc (AIM: SDM), a leading supplier of wireless solutions, power supplies and electronics assemblies, announces that Charlie Peppiatt, Chief Executive Officer, has today exercised options granted under the 2006 Performance share plan over 120,000 ordinary shares of 5 pence each in the Company ("Ordinary Shares") at an exercise price of 5 pence per Ordinary Share.
Mr Peppiatt subsequently sold 55,000 Ordinary Shares today at 122 pence per share to meet the associated tax liability arising on the exercise of the options. Following this transaction, Mr Peppiatt is beneficially interested in 112,490 Ordinary Shares representing 0.3% of the issued share capital of the Company. In addition, he holds a total of 480,000 share options.
To satisfy the exercise of the share options, the Company has issued 120,000 new Ordinary Shares, which rank pari passu with the Company's existing issued Ordinary Shares. Application has been made for the admission of the new Ordinary Shares to trading on AIM and dealings are expected to commence at 8:00am on 23 March 2016. On admission, the Company will have 37,288,122 shares in issue and no shares are held in treasury.
Therefore, the Company's total number of Ordinary Shares with voting rights will 37,288,122. The above figure of 37,288,122 may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
