Prompt Announcement on the Change of Controlling Shareholder's Equity Exceeding 1%
I. Basic Information of This Equity Change
Matters related to this non-public issuance of A shares by SDIC Power Holdings Co., LTD. (hereinafter referred to as "the Company") have been deliberated and approved at the 30th session of the 11th Board of Directors and the 6th Extraordinary Shareholders' Meeting in 2021. The Issuance Examination Committee of the China Securities Regulatory Commission deliberated and adopted the application for this non-public issuance of A shares by the Company on October 18, 2021. On October 29, 2021, China Securities Regulatory Commission issued the Reply to SDIC Power Holdings Co., LTD. on the Approval of its Non-public Issuance of Stocks to check and approve this non-public issuance of the Company. In the aforesaid Reply, it is checked and approved that the Company will privately issue no more than 488,306,450 new shares. According to the subscription results of the Issuer, 488,306,450 shares are privately issued this time.
Upon completion of this non-public issuance of stocks, the total capital stock of the Company increases from 6,965,873,347 shares to 7,454,179,797 shares. The changes of the Company's shares held by State Development & Investment Corp., Ltd. (hereinafter referred to as "SDIC"), the controlling shareholder of the Company, are as follows:

II. Description of Other Situations
1. The above-mentioned equity changes originate from SDIC's subscription of shares privately issued by the Company, which will not lead to changes in the controlling shareholders and actual controllers of the Company, or have a significant impact on the Company's governance structure and going concern.
2. This equity change does not touch on tender offer.
3. According to the Measures for the Administration of Acquisition by Listed Companies and other relevant regulations, this equity change does not involve the disclosure of the Simplified Equity Change Report and other follow-up work.
