Alliance & Leicester plc ("A&L") and Santander UK plc ("Santander UK")

PROPOSED EXCHANGE OF A&L PREFERENCE SHARES (ISIN XS0254788515) FOR NEW SANTANDER UK PREFERENCE SHARES (ISIN XS0502105454)

Admission to listing and trading of the New Santander UK Preference Shares and cancellation of listing and trading of A&L Preference Shares

A&L is pleased to announce that the New Santander UK Preference Shares issued pursuant to the Preference Scheme were admitted to the Official List and to trading on the London Stock Exchange at 8.00 a.m. today.

In addition, pursuant to the Preference Scheme becoming effective, listing of the A&L Preference Shares on the Official List and trading of such securities on the London Stock Exchange were both cancelled with effect from 8.00 a.m. today.

Capitalised terms in this announcement have the same meanings given to them in the Scheme Document dated 12 March 2010, unless otherwise indicated.
