M&C Saatchi PLC ("M&C Saatchi" or "the Company")

Additional Listing and Total Voting Rights

Application has been made to the London Stock Exchange for the Admission of 13,671,602 new ordinary shares of 1p each in the Company (the "New Shares") to trading on AIM. 9,876,541 of the New Shares have been issued pursuant to a put option, as consideration for shares in the Company's Mobile subsidiary. 3,795,061 of the New Shares have been issued pursuant to the exercise of share options.

Admission of the New Shares is expected to become effective on 6 May 2020.

The total number of Ordinary Shares in issue on the date of admission will be 115,563,395. Of this total, 485,970 Ordinary Shares are held in treasury. Therefore, the total number of Ordinary Shares in issue with voting rights will be 115,077,425. 

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
