Dealing by Directors and Persons Disclosing Managerial Responsibilities ('PDMRs')

The Restaurant Group plc ('the Company') announces that on 8 March 2010 Alan Jackson, Chairman of the Company, exercised 200,000 options granted to him on 5 June 2001 at an exercise price of 45p. Following this exercise Mr Jackson sold these shares at a price of 215.3195p per share. Mr Jackson holds 400,191 shares in the Company, representing 0.20% of the issued share capital.

On the same day Stephen Critoph, Finance Director of the Company, exercised 235,000 options at an exercise price of 97.7p and 50,000 options at an exercise price of 134.4p. Following this exercise, Mr Critoph sold 285,000 shares at a price of 215.3195p per share.

Mr Critoph also exercised 56,156 Conditional Options and 20,340 Matching Options under the Long Term Incentive Plan. Following this exercise, Mr Critoph sold 20,340 shares at 215.0p per share. Following these transactions Mr Critoph increased his shareholding in The Restaurant Group plc from 202,491 shares to 258,647 shares, and his shareholding now represents 0.13% of the issued share capital.

On the same day Trish Corzine exercised 52,413 Conditional Options and 18,433 Matching Options under the Long Term Incentive Plan. Following this exercise, Ms Corzine sold 29,106 shares at 215.0p per share. Following these transactions Ms Corzine increased her shareholding in The Restaurant Group plc from 213,757 shares to 255,497 shares, and his shareholding now represents 0.13% of the issued share capital.

On the same day Robert Morgan, Company Secretary of the Company, exercised 100,000 options at an exercise price of 97.7p. Following this exercise, Mr Morgan sold 100,000 shares at a price of 215.0p per share.

Mr Morgan also exercised 18,095 Conditional Options and 4,032 Matching Options under the Long Term Incentive Plan. Following this exercise, Mr Morgan sold 9,092 shares at 215.0p per share. Following these transactions Mr Morgan increased his shareholding in The Restaurant Group plc from 107,472 shares to 120,507 shares, and his shareholding now represents 0.06% of the issued share capital.
