Annual report and accounts 2013

Further to the publication on 24 July 2013 of the Company's preliminary announcement of its annual results for the year ended 30 June 2013 (the "Preliminary Announcement"), it is confirmed that a copy of the following has today been posted to shareholders and submitted to the National Storage Mechanism, and will shortly be available for inspection at www.hemscott.com/nsm.co:

1. Annual report and accounts for the year ended 30 June 2013;

2. Chairman's letter with attached revised Notice of AGM; and

3. Proxy form.

Since the date on which the Annual report and accounts were printed, Bill Whiteley, the current senior independent director, has decided not to offer himself for re-election at the AGM. The revised Notice of AGM therefore replaces the version contained in the Annual report and accounts.

The Annual report and accounts 2013 and Chairman's letter with revised Notice of AGM will also be available on www.renishaw.com.

In compliance with the Disclosure and Transparency Rules, the following information, together with the Preliminary Announcement (available on www.renishaw.com), forms the information required by DTR 6.3.5 to be communicated to the media in unedited full text.

Responsibility statement of the directors in respect of the Annual report and financial statements

We confirm that to the best of our knowledge:

(a) the financial statements, prepared in accordance with the accounting standards referred to in the Statement of directors' responsibilities, give a true and fair view of the assets, liabilities, financial position and profit or loss of the Company and the undertakings included in the consolidation taken as a whole; and

(b) the Business review includes a fair review of the development and performance of the business and the position of the Company and the undertakings included in the consolidation taken as a whole, together with a description of the principal risks and uncertainties that they face.
