AGM Agenda
27 May 2014. Moscow, Russia. - JSC Russian Grids (LSE: RSTI) (the "Company"), the largest electricity transmission and distribution grid company in Russia, today announces that its Board of Directors has approved the following agenda for the Company's Annual General Meeting of Shareholders ("AGM") to be held on 30 June 2014:
1. Approval of the Company's annual report.
2. Approval of the Company's accounts, including the income statement.
3. Approval of 2013 profit distribution.
4. Dividend payment for 2013, including the amount, terms, payment procedure and record date.
5. Remuneration to members of the Board of Directors who are non-governmental officers in the amount prescribed in the Company's internal documents.
6. Election of the Company's Board of Directors.
7. Election of the Audit Committee members.
8. Appointment of the Company's auditor.
9. Approval of a new edition of the Company's charter.
10. Approval of a new edition of the Regulations for the Company's General Meeting of Shareholders.
11. Approval of a new edition of the Regulations for the Company's Board of Directors.
12. Approval of a new edition of the Regulations for the Management Board.
13. Approval of a new edition of the Regulations for the Audit Committee.
14. Approval of a new edition of the Regulations for remuneration and compensation for members of the Board of Directors.
15. Approval of a new edition of the Provisions on remuneration and compensation for members of the Audit Committee.
16. Approval of the liability insurance agreement for directors and officers, which constitutes a related party transaction.
17. Approval of the liability insurance agreement for directors and officers for the period of 25 December 2014 to 24 December 2015, constituting a related party transaction.
The Board of Directors of the Company has recommended not paying a dividend for the year ended 31 December 2013.
As announced on 13 May 2014, the AGM will take place on 30 June at 11:00 a.m. Moscow time in Pavilion 55 at "the All-Russia Exhibition Centre" ("OJSC VDNH"), located at 119/55 Prospekt Mira, Moscow, Russia. Registration of shareholders participating in the AGM is to start at 9:30 a.m. Moscow time on 30 June 2014.
The AGM materials will be available from 10 June 2014 until 30 June 2014during working hours at the Company's office at 4 Belovezhskaya street, Moscow and at the JSC Registrar Society STATUS at 32, bldg. 1 Novorogozhskaya street, Moscow and on the Company's website at www.rosseti.ru.
