Completion of Placing and Subscription

Rose Petroleum plc, the AIM-listed (Ticker: ROSE) natural resources company, is pleased to confirm that its recent fundraising of £3.5 million through a placing and subscription of 199,999,987 new ordinary shares (the "Placing Shares") has today become unconditional. The Placing Shares were admitted to trading at 8.00 a.m. today. Further detail of the placing and subscription were announced on 1 December 2014 regarding the Conditional Placing and Subscription.

Following completion of the placing the Company announces that its issued share capital as at the date of this announcement consists of 1,510,185,120 ordinary shares of 0.1p each with one voting right per share. The Company does not hold any shares in treasury. Therefore the total number of Ordinary Shares and voting rights in the Company is 1,510,185,120.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
