Statement regarding 888 Holdings plc and The Rank Group plc

The Board of William Hill PLC ("William Hill" or the "Group") notes the announcement by 888 Holdings plc ("888") and The Rank Group plc ("Rank") (together the "Consortium") regarding its unsolicited non-binding highly conditional proposal (the "Proposal").

The Consortium's announcement contains no new proposal or substantive new information. As previously announced on 9 August 2016, the Board of William Hill has unanimously rejected the Proposal as it substantially undervalues William Hill and as such the Board continues to see no merit in engaging with the Consortium.

The Board of William Hill continues to believe that the Proposal is highly opportunistic and does not reflect the inherent value of the Group. In addition,

it presents significant risk for William Hill shareholders as it involves a highly complicated three-way combination at a very low premium;

there is substantial risk for William Hill shareholders in the achievement of the estimated future cost synergies, which are only expected to be achieved in full by the end of 2020; and

it would result in the combined group operating with substantially increased leverage of approximately £2.2 billion, carrying a much higher interest charge.

Furthermore, the Board of William Hill believes the Group has a strong team to deliver against its strategy to grow its digital and international businesses and does not believe that a combination of William Hill with 888 and Rank will enhance William Hill's strategic positioning or deliver superior value for shareholders compared against this strategy.

Gareth Davis, Chairman of William Hill, said: "The Board continues to see no merit in engaging on the basis of a proposal that substantially undervalues the Group. In addition, as we have said before this proposal is highly opportunistic, complex and poses significant risk for our shareholders."

In accordance with Rule 2.6(a) of the Code, the Consortium is required, by not later than 5.00 p.m. on 21 August 2016 to either announce a firm intention to make an offer for William Hill in accordance with Rule 2.7 of the Code or announce that it does not intend to make an offer, in which case the announcement will be treated as a statement to which Rule 2.8 of the Code applies. This deadline can be extended with the consent of the Panel in accordance with Rule 2.6(c) of the Code.

This announcement is being made without the approval of the Consortium.

There can be no certainty that a transaction will be forthcoming or as to its terms. William Hill shareholders are strongly advised to take no action.

Disclosure requirements of the Code

Under Rule 8.3(a) of the Code, any person who is interested in 1% or more of any class of relevant securities of an offeree company or of any paper offeror (being any offeror other than an offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the offer period and, if later, following the announcement in which any paper offeror is first identified. An Opening Position Disclosure must contain details of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any paper offeror(s). An Opening Position Disclosure by a person to whom Rule 8.3(a) applies must be made by no later than 3.30 pm (London time) on the 10th business day following the commencement of the offer period and, if appropriate, by no later than 3.30 pm (London time) on the 10th business day following the announcement in which any paper offeror is first identified. Relevant persons who deal in the relevant securities of the offeree company or of a paper offeror prior to the deadline for making an Opening Position Disclosure must instead make a Dealing Disclosure.

Under Rule 8.3(b) of the Code, any person who is, or becomes, interested in 1% or more of any class of relevant securities of the offeree company or of any paper offeror must make a Dealing Disclosure if the person deals in any relevant securities of the offeree company or of any paper offeror. A Dealing Disclosure must contain details of the dealing concerned and of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any paper offeror, save to the extent that these details have previously been disclosed under Rule 8. A Dealing Disclosure by a person to whom Rule 8.3(b) applies must be made by no later than 3.30 pm (London time) on the business day following the date of the relevant dealing.

If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire or control an interest in relevant securities of an offeree company or a paper offeror, they will be deemed to be a single person for the purpose of Rule 8.3.
