NOTIFICATION OF TRANSACTIONS OF
PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs")
AND OF PERSONS CLOSELY ASSOCIATED ("PCAs")
PDMR Shareholding
The Company announces that on 10 December 2019, Mr James John Berry, a PDMR of the Company, transferred:
(a) 230,000 ordinary shares of 0.003 pence each (each an "Ordinary Shares") to his Self-Invested Personal Pension ("SIPP"); and
(b) 12,500 Ordinary Shares to his Individual Savings Account ("ISA")
This transfer resulted in no change in the beneficial ownership by Mr Berry of the Ordinary Shares of the Company.
PDMR gifts to children
Mr Berry, on the same day, gifted 7,900 Ordinary Shares to each of his two children's ISAs, resulting in a total of 15,800 Ordinary Shares being gifted by Mr Berry.
PCA Shareholding
The Company announces that on 10 December 2019, Mrs Karen S Berry (PCA to Mr Berry) transferred:
(a) 4,700 Ordinary Shares to her SIPP; and
(b) 11,600 Ordinary Shares to her ISA.
This transfer resulted in no change in the beneficial ownership by Mrs Berry of the Ordinary Shares of the Company.
Following the above PDMR and PCA shareholding transactions:
·; Mr Berry holds 1,341,446 Ordinary Shares representing approximately 1.57% of the total shareholding in the Company.
·; Mrs Berry continues to hold 247,553 Ordinary shares representing approximately 0.29% of the total shareholding in the Company.
·; Together Mr and Mrs Berry hold 1.86% of the total shareholding in the Company.
Formal notification in respect of the PDMR is set out below in accordance with the requirements of the Market Abuse Regulation.
